OutScript is operated by [Legal Entity Name], a private limited company in the process of incorporation in India. Once registration is complete, this document will be updated with the full legal entity name, registered office, and governing jurisdiction. By using OutScript today, you agree that the finalized entity details and Indian governing law will apply once those details are added.
1. Agreement to Terms
These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "User") and [Legal Entity Name], operating the product known as OutScript ("OutScript," "we," "us," or "our").
By creating an account, accessing our website, clicking "I agree," subscribing to a plan, or otherwise using OutScript, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are using OutScript on behalf of a company, agency, or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
2. Eligibility
To use OutScript, you must:
- Be at least 18 years old and have the legal capacity to enter into a binding contract
- Not be located in, under the control of, or a national or resident of any country subject to comprehensive sanctions by India, the United States, the European Union, or the United Kingdom
- Not be listed on any government watchlist of prohibited or restricted parties
- Not have been previously suspended or removed from OutScript
If you do not meet these requirements, you may not use the Service and you must close any account you have created.
3. Your Account
To access most features of OutScript, you need to create an account. When you sign up, you agree to:
- Provide accurate, current, and complete information
- Keep your account information up to date
- Safeguard your login credentials and not share them with anyone — you are responsible for all activity under your account
- Notify us immediately at legal@outscript.io if you suspect unauthorized access to your account
We are not liable for any loss or damage resulting from your failure to protect your account credentials.
4. What the Service Does
OutScript is a software-as-a-service platform that helps creators, agencies, and businesses research competitor content and generate short-form video scripts. The core features include:
- Competitor research — we fetch publicly available content from social profiles you submit (Instagram, TikTok, YouTube, LinkedIn) through our third-party data providers
- Pattern analysis — we use AI to analyze the scraped content and surface hooks, topics, structures, and content gaps
- AI script generation — we generate draft scripts based on your client profile, brand rules, and the pattern analysis
- Script library — a workspace for managing, filtering, rating, and tracking your scripts
- AI chat — an interactive chat interface for refining scripts with the AI
We may add, modify, or remove features at any time. We will try to give notice of material changes that affect how you use the Service.
5. Subscriptions, Billing & Auto-Renewal
5.1 Plans and Pricing
OutScript is offered on a subscription basis. Current plans and pricing are available on our pricing page and may include: Individual, Starter Agency, Growth Agency, Scale Agency, and Enterprise tiers. Each plan has specific limits on the number of client profiles and scripts per month, as listed on the pricing page at the time of your purchase.
5.2 Payment Processor
All payments are processed by Stripe. By subscribing, you also agree to Stripe's applicable terms. We do not receive or store your full payment card details.
5.3 Billing Cycle
Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your billing cycle starts on the day you subscribe and renews automatically on the same day of each cycle until you cancel.
5.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us (through Stripe) to charge your payment method for the subscription fee at each renewal. If we cannot collect payment, we may suspend your access until the issue is resolved.
5.5 Price Changes
We may change our subscription pricing at any time. If we increase the price of your plan, we will give you at least 30 days' notice before the change takes effect. You may cancel before the change applies if you do not accept the new price. Continued use after a price change takes effect constitutes acceptance.
6. Refunds & Cancellation
We offer a 7-day money-back guarantee for first-time subscribers. If you are unhappy with OutScript within 7 days of your first paid subscription, email us and we will refund you in full.
6.1 7-Day Money-Back Guarantee
If you are a first-time subscriber and you are not satisfied with OutScript, you may request a full refund within 7 calendar days of your initial paid subscription. To request a refund, email legal@outscript.io with your account email and the reason for the request. We will process approved refunds to your original payment method within 10 business days. This guarantee applies only to your first paid subscription with OutScript — it does not apply to renewals, upgrades, or additional purchases.
6.2 Other Refunds
Beyond the 7-day guarantee, all subscription payments are non-refundable, including for:
- Partial billing periods after cancellation
- Renewals (you are responsible for cancelling before the renewal date)
- Plan upgrades or downgrades within a billing period
- Unused scripts, ideas, or client slots
- Periods during which you chose not to use the Service
We may, at our sole discretion, issue refunds on a case-by-case basis for exceptional circumstances. Any such refund does not obligate us to issue similar refunds in the future.
6.3 Cancellation
You may cancel your subscription at any time through your account settings or by emailing legal@outscript.io. Cancellation takes effect at the end of your current billing period — you retain access to the Service until that date. No partial refunds are issued for mid-cycle cancellations.
6.4 Chargebacks
If you dispute a charge with your bank or card issuer without first contacting us in good faith, we may suspend or terminate your account. We encourage you to reach out at legal@outscript.io first — we will always try to resolve issues directly.
7. Taxes
Prices shown on our website are exclusive of applicable taxes unless stated otherwise. You are responsible for any sales tax, VAT, GST, or similar taxes that may apply to your subscription based on your location. Where required by law, we (or Stripe on our behalf) will collect and remit these taxes.
8. Acceptable Use
You agree to use OutScript only for lawful purposes and in accordance with these Terms. You will not:
- Use the Service to generate, promote, or distribute content that is illegal, defamatory, harassing, discriminatory, hateful, violent, or sexually explicit, especially any content involving minors
- Infringe anyone's intellectual property rights, privacy rights, publicity rights, or other legal rights
- Use the Service for spam, bulk unsolicited messaging, phishing, deceptive engagement schemes, or any form of fraud
- Attempt to reverse-engineer, decompile, disassemble, or otherwise extract the source code of OutScript or its underlying systems
- Scrape, crawl, or systematically extract data from OutScript itself (the irony is not lost on us), or bypass any rate limits or access controls
- Use automated tools, bots, or scripts to interact with the Service in ways not explicitly permitted
- Resell, sublicense, or commercially exploit the Service without our permission
- Interfere with or disrupt the Service, its servers, or the networks connected to it
- Use the Service to develop a competing product, or train a competing AI model on our outputs
- Attempt to gain unauthorized access to other user accounts, systems, or data
We reserve the right to investigate, suspend, or terminate any account that violates this Acceptable Use policy. Serious or repeated violations may be reported to law enforcement.
9. Your Content
9.1 Ownership
You own the scripts, ideas, client profiles, brand rules, and other content you create or generate using OutScript (collectively, "Your Content"). Nothing in these Terms transfers ownership of Your Content to us.
9.2 License to Us
To provide the Service, you grant OutScript a worldwide, non-exclusive, royalty-free license to host, store, process, display, transmit, and create derivative works of Your Content solely to:
- Operate and provide the Service to you
- Generate scripts and analysis on your behalf
- Maintain backups and ensure Service reliability
- Create aggregated, anonymized usage statistics that do not identify you or your content
This license ends when you delete Your Content or close your account, subject to legal retention requirements described in our Privacy Policy.
9.3 Your Representations
When you submit content to OutScript, you represent and warrant that:
- You own the content or have all necessary rights to submit it
- Submitting the content does not violate any third party's rights, any law, or any contract
- The content is accurate and not misleading
10. Our Intellectual Property
OutScript, including the software, user interface, design, branding, logos, content, pattern analysis methodology, and all underlying technology, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use OutScript for your own internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly allowed.
11. Third-Party Services
OutScript is built on top of third-party services, including Google Firebase, Stripe, Google Gemini, Apify, Supadata, YouTube Data API, and Vercel. These services have their own terms and privacy policies, which govern how they handle data we send them.
We are not responsible for the availability, accuracy, content, or practices of third-party services. Outages, errors, or changes in these services may affect OutScript, and we are not liable for such disruptions. Our Privacy Policy lists our sub-processors and links to their privacy policies.
12. Competitor Research — Your Responsibility
OutScript fetches publicly available content from third-party platforms (Instagram, TikTok, YouTube, LinkedIn) on your instruction. Those platforms have their own Terms of Service that may govern automated access, and courts have ruled on scraping disputes in various ways. You are responsible for your own compliance.
By submitting a competitor profile URL to OutScript, you represent and warrant that:
- You have a legitimate business interest in researching the competitor — for example, competitive analysis, market research, or creative inspiration
- The profile you submit is publicly accessible and not behind a private login, block, or access restriction
- You are not submitting the profile to harass, stalk, defame, or misuse personal information about the creator
- You acknowledge that fetching public content from these platforms may be subject to those platforms' Terms of Service, and you assume full responsibility for any risk associated with your research
- You will not use OutScript to monitor competitors in any way that violates applicable competition, privacy, or anti-harassment laws
OutScript acts as a tool operating on your instruction. We do not independently select competitors to research; you do. To the maximum extent permitted by law, you agree to defend, indemnify, and hold OutScript harmless from any claims arising from your research choices or misuse of scraped content (see Section 20).
13. AI-Generated Content Disclaimers
OutScript uses artificial intelligence (currently Google Gemini) to generate scripts, ideas, pattern analysis, and chat responses. AI-generated content is provided on an "as is" basis without any warranty of any kind.
13.1 No Guarantees
We make no guarantees that AI-generated content will be:
- Accurate, factually correct, or free from errors
- Original or free from similarity to existing content
- Non-infringing on third-party intellectual property rights
- Compliant with any platform's content policies
- Effective at generating views, engagement, leads, or any commercial outcome
13.2 Your Responsibility to Review
You are solely responsible for reviewing, editing, fact-checking, and approving any AI-generated content before publishing or using it. Never publish AI-generated content as-is without human review. You take ultimate responsibility for anything you publish, regardless of whether it was drafted with help from OutScript.
13.3 Platform and Disclosure Rules
When you publish content generated with OutScript, you must comply with:
- The content policies of the platforms where you publish (Instagram, TikTok, YouTube, LinkedIn, etc.)
- Advertising and endorsement rules such as the US Federal Trade Commission (FTC) endorsement guidelines, or their equivalents in your jurisdiction
- AI disclosure requirements in jurisdictions that require them (e.g., parts of the EU under the EU AI Act)
- Industry-specific regulations, including but not limited to health claims, financial advice disclaimers, and political advertising rules
13.4 Not Professional Advice
OutScript is not a substitute for qualified professional advice. Do not use OutScript to generate content that offers or could be construed as legal, medical, financial, psychological, or investment advice without review by a qualified professional. We are not responsible for any harm resulting from the use of AI-generated content in these contexts.
14. Confidence Scores
OutScript displays a "confidence score" (typically 60-95%) alongside generated scripts. This score is an internal heuristic based on factors such as whether competitor pattern data is available, how closely the script matches your brand profile, and other signals. It is not a performance prediction, a statistical guarantee, or a promise of commercial results. Do not make business decisions based solely on this score.
15. Prohibited Use Cases
You must not use OutScript to create or distribute:
- Content that defames, threatens, harasses, or dehumanizes any individual or group
- Content that infringes any copyright, trademark, trade secret, or other intellectual property right
- Content that violates any platform's terms (for example, fake engagement schemes or content that tricks viewers)
- Misleading political disinformation, deepfakes of real people without consent, or synthetic impersonation
- Content promoting illegal activities, violence, or self-harm
- Content exploiting, sexualizing, or endangering minors in any way
- Unlawful commercial communications (spam, unauthorized advertising)
Violation of this section may result in immediate account termination and, where appropriate, referral to law enforcement.
16. Feedback
If you send us feedback, suggestions, bug reports, or ideas about OutScript, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use that feedback to improve the Service. You are not entitled to any compensation for feedback, and we have no obligation to implement any of it.
17. Termination
17.1 Termination by You
You may terminate your account at any time through your account settings or by emailing legal@outscript.io. Termination takes effect at the end of your current billing period. You remain responsible for any charges incurred before termination.
17.2 Termination by Us
We may suspend or terminate your account, with or without notice, if:
- You breach these Terms or our Acceptable Use policy
- Your payment fails and is not resolved within a reasonable grace period
- We are required to do so by law, court order, or government request
- Continuing to provide the Service to you creates significant risk to us, other users, or third parties
- You engage in fraudulent, abusive, or illegal activity
Where reasonable, we will give you advance notice and a chance to cure the issue. For serious violations, we may terminate immediately and without notice.
17.3 Effect of Termination
On termination, your access to the Service ends, and we may delete your account data subject to legal retention requirements and the 60-day grace period described in our Privacy Policy. You may export Your Content before termination; we recommend doing so if you rely on it. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
18. No Warranties
19. Limitation of Liability
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the smallest extent permitted by applicable law. Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
20. Indemnification
You agree to indemnify, defend, and hold harmless OutScript and its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use or misuse of the Service
- Your breach of these Terms, including the Acceptable Use policy
- Your Content, including any claim that Your Content infringes intellectual property rights, privacy rights, or publicity rights of a third party
- Any content you publish that was generated or drafted with help from OutScript
- Your research choices and any claims by the subjects of that research, or by the platforms from which data was fetched
- Your violation of any law or third-party rights
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
21. Governing Law & Dispute Resolution
These Terms and any disputes arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the courts located in [City, India]. You and OutScript consent to personal jurisdiction in those courts and waive any objection based on inconvenient forum.
Informal resolution first. Before filing any formal dispute, you agree to contact us at legal@outscript.io and give us at least 30 days to resolve the issue in good faith. Most issues can be sorted out this way.
If you are a consumer in the EU or UK, nothing in this section deprives you of any mandatory protections afforded by the laws of your country of residence, and you may bring claims in the courts of your home country where required by local law.
22. Changes to These Terms
We may update these Terms from time to time. When we do:
- We will update the "Last updated" date at the top of this page
- For material changes, we will give you at least 30 days' notice by email and in-app before the changes take effect
- For minor corrections, clarifications, or legally required updates, we may update the Terms without advance notice
If you continue to use OutScript after an update takes effect, you accept the updated Terms. If you do not accept the changes, you must stop using the Service and may close your account.
23. General Terms
23.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced here, form the entire agreement between you and OutScript and supersede any prior agreements or understandings.
23.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
23.3 No Waiver
Our failure to enforce any right or provision of these Terms does not waive that right or provision.
23.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
23.5 Force Majeure
We are not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government actions, internet or telecommunications failures, or widespread outages of our sub-processors.
23.6 Notices
We may provide notices to you by email to the address associated with your account, by posting on the Service, or by any other reasonable means. You must provide notices to us at legal@outscript.io.
23.7 No Agency
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and OutScript.
23.8 Language
These Terms are written in English. If we provide translations for convenience, the English version controls in case of conflict.
